This Privacy Policy (“Policy”) applies to the website, kalgudi.com (“Website”) and cross platform mobile application software, Kalgudi (“App”, collectively as “Kalgudi”) facilitating collaboration, communication and interaction between, including without limitation, farmers, agriculturalist, scientist, vendors, dealers, intermediaries, ware houses, wholesalers, merchants, retailer and business partners (“Users”) for business purposes with a web based intelligence platform (“Services”), developed and offered by Vasudhaika Software Solutions Private Limited (“Vasudhaika”) through the Website and other available application stores including Google Play Store, iOS app store and Windows etc., as decided by the Company from time to time (“Platform”). This Policy describes Kalgudi’s use and sharing of personally identifiable information received by Kalgudi from Users, such information being related to the Users or other persons downloading, accessing or using Kalgudi. . The Services offered adhere to all the laws, rules, regulations and policies pertaining to the jurisdiction (“Applicable Laws”) with regard to the collection, use, disclosure, retention and protection of User information including Personal Data, that Kalgudi is likely to have access to as a result of the User’s use of it.

By accessing Kalgudi, the User hereby acknowledges and consents to the collection, use, disclosure and storage of User’s own Personal Data, as received by Vasudhaika by virtue of the User’s usage of Kalgudi in the manner described in this Policy. In addition, the User also agrees to be bound by the terms and conditions of this Policy while using or accessing Kalgudi. If the User does not agree with the terms of the Policy, he/ she should not access or use Kalgudi strictly.

This Privacy Policy is subject to the Terms of Use and Legal Disclaimer incorporated therein by reference.

1.1. Personal Data refers to any data, whether true or not, about any person including without limitation a User who can be identified (a) from that data; or (b) from that data and other information, including without limitation, User’s name, gender, business name, its address,email address, date of birth, date of incorporation, any identity proof number, phone number etc., to which Kalgudi has or is likely to have access. Personal Data shall also include the information of such third parties that Kalgudi may have access to during the course of providing the Services to the Users. Kalgudi may also collect recurring information of the User’s geographic locations on a continuous basis.

1.2. Kalgudi collects such Personal Data from the User because the User is voluntarily submitting information in order to enjoy the Services. Personal Data may be obtained from the User for such purposes and in the manner including but not limited to the following:-

(a) When the User contacts the App through his/her registered mobile number/device or visits the Website for registration and for using the Services;

(b) When the User submits his/ her data in the forum; and

(c) When the User receives customer or technical support from Vasudhaika.

1.3. In order to provide smooth and uninterrupted Services, the App shall periodically access the address book or contact list on User’s mobile phone/device to locate the mobile phone numbers of other Users.

1.4. Kalgudi may also collect anonymous data that is not associated with or linked to any Personal Data (“Anonymous Data”) and which, by itself, does not permit the identification of the individual User. Kalgudi collects one or more unique identifiers of the device where it is installed, such as details of network, type of connectivity and such other information. Kalgudi may store this unique identifier and create a profile for the User. This is only maintained to provide updates of the Services to the User.

1.5. In addition to any Personal Data that User chooses to submit to Kalgudi, Kalgudi may use a variety of technologies that automatically (or passively) collect certain information, including but not limited to usernames, passwords, and other security and usage related information, whenever User visits or utilizes the Services (“Usage Information”). The App automatically receives and records information that User’s Platform sends whenever User accesses the Services. Kalgudi may automatically collect and record certain technical information such as Log Data, Analytical Code, Time Stamp, Geo Stamp among others that User does not visibly enter and that is automatically collected during the User’s use of the Services, such as the IP address, version and identification number of the App and device, browser type, browser language, the date and time of the User’s request, User’s profile, websites visited by the User, search terms used, User’s mobile carrier data, platform type, number of clicks, phone number, requested status of other Users/Business Partners and various status information with regard to the Services provided through Kalgudi. Such technical information collected is not associated with any Personal Data and is only tagged to the unique identifier for a particular device.

1.6. Kalgudi may use data collection devices such as “cookies” on the User’s mobile device or other device drive that assist Kalgudi in providing Services.

2.1. Kalgudi may use the Personal Data and other information collected for any of the following purposes –

(a) to effectively provide the Services to the Users;

(b) for the purposes of software verification or administering software upgrades;

(c) to allow the User to participate in surveys regarding Services;

(d) to maintain the quality of the Services and provide general statistics regarding their use;

(e) to deliver Services, including email notifications, confirmations, technical notices, updates, security alerts, and support and administrative messages that the User may request;

(f) archival or backup purposes;

(g) to alert the Users about updated information and other such new or updated services that may be offered by other Users;

(h) to allow access to exclusive features or functionality of Kalgudi; and

(i) to launch and/or open other mobile applications installed on the User’s device based on functionality of App.

3.1. Kalgudi may share the Personal Data received from the User with Kalgudi’s other corporate entities and affiliates in connection with matters relating to the consumption of Services by the User to help detect and prevent identity theft, fraud and other potentially illegal acts; correlated or multiple accounts to prevent abuse of Services; and to facilitate joint or co-branded services that the User request where such services are provided by more than one corporate entity other than Vasudhaika. Such other corporate entities, affiliates, agents, suppliers and service providers may use the Personal Data or other information submitted/provided by the Users only for the limited purposes as mentioned in this Policy and to protect the privacy of such Personal Data and other information in a manner that is consistent with this Policy.

3.2. Vasudhaika may disclose Personal Data, if required to do so by law or regulation; to its legal counsel, law enforcement officers, governmental authorities who have asserted their lawful authority to obtain the information or where Vasudhaika has in good faith reasonable grounds to believe that such disclosure is reasonably necessary to enforce its Terms of Use or this Privacy Policy and the information could be useful in the investigation of unlawful activity, or to comply with a subpoena or warrant or an order made by a court, person or body with jurisdiction to compel the production of information, or to comply with court rules regarding the production of records and information.

3.3. Vasudhaika shall not rent, sell, or otherwise provide Personal Data received from the User to third parties without consent of the User, except as described in this Policy or as required by law. However, Vasudhaika and its affiliates reserve the right to share, sell and transfer some or all of the Personal Data to other business entities should it, or its assets, plan to merge with, or be acquired by that business entity.

3.4. Vasudhaika has implemented commercially reasonable physical, managerial, operational and technical security measures to protect the loss, misuse, alteration and security of the Personal Data received from the User in Vasudhaika’s care. Vasudhaika’s security practices and procedures limit access to Personal Data on need to know basis only. Such measures may include, where appropriate, the use of firewalls, secure server facilities, implementing proper access rights management systems and processes, careful selection of processors, standard authentication and encryption policies for its servers and other technically and commercially reasonable measures.

4.1. Vasudhaika is committed to protecting the security of any Personal Data and uses reasonable efforts including a variety of security technologies and procedures to help protect such Personal Data from any unauthorized access, use or disclosure. Vasudhaika will take all reasonable measures in furtherance of the above commitment. However, it cannot guarantee that the Personal Data received from the Users and other information stored on the servers will be absolutely protected. Vasudhaika’s systems and the communications networks through which User’s access Kalgudi may be subject to security breaches and failures due to circumstances beyond its reasonable control. These may include "hacking", data theft or and physical theft among others. In such situations, Vasudhaika will try to rectify the problems as soon as possible.

4.2. Any data destroyed shall be disposed of in a manner that protects the privacy of the Personal Data received by Kalgudi from the User in an appropriate manner as per the industry standard practices and norms.

4.3. The User hereby acknowledges and understands that all Personal Data provided in using Kalgudi is with their knowledgeable consent and at the User’s own risk.

5.1. As a registered User of the Services, the User has certain obligations to other users. Some of these obligations are imposed by applicable law and regulations, and others have become commonplace for Services as offered by Kalgudi:

(a) The User must, at all times, abide by the terms and conditions of the then prevailing Privacy Policy and Terms of Use. This includes respecting all intellectual property rights that may belong to third parties;

(b) The User must not upload or insert any comments that may be deemed to be injurious, violent, offensive, racist or xenophobic, or which may otherwise violate the purpose and spirit of Kalgudi, Vasudhaika and its community of users;

(c) The User must keep his username and passwords confidential and not share it with others;

(d) All information given must be genuine and true to the best knowledge of the User. Vasudhaika shall not be held responsible in case of any fraudulent information given at the time of registration for using Kalgudi; and

5.2. Any violation of the guidelines as mention in this Clause 5.1 may lead to the restriction, suspension or termination of the User account at the sole discretion of Vasudhaika.

In the process of providing Services to its Users, Kalgudi may transfer the Personal Data and other information that it collects to affiliated entities or other third parties across borders, and from the User’s country or jurisdiction to other countries or jurisdictions around the world. The Users understand, acknowledge and consent to transferring information and permitting the transfer of information, including Personal Data, to a country and jurisdiction that does not have the same data protection laws as the User’s jurisdiction. The User hereby consents to the transfer of his/ her information across countries or jurisdictions around the world.

The usage of the Services is exclusively governed by the laws of India and the jurisdiction of the courts in the State of Telangana. Vasudhaika expressly disclaims any implied warranties or liabilities imputed by the laws of any other jurisdiction.

Any changes in this Policy by Vasudhaika shall be posted on the its Website or notified in the App to reflect changes in its policy so that the User is always aware of what information Kalgudi collects, uses, and under what circumstances, if any, Kalgudi may disclose it. User should periodically review the abovementioned page for the latest information on the Kalgudi’s privacy practices. Once posted, those changes are effective immediately. Continued access or use of Kalgudi constitutes the User’s acceptance of the changes and the amended Policy.

The App can be downloaded from third party application stores including Google Play, iOS App Store etc. The App may contain links to other third-party websites that may collect the Personal Data. The User agrees to comply with all third party privacy policies, if any, applicable to the use of such applications or its services. Vasudhaika is not responsible for the User’s use of any third party product and/or service including the terms and conditions, privacy practices or the content of those linked websites or such third party product and/or service or violation and infringement of any third party rights, policies, terms and conditions in connection with access, download or installation of such mobile applications.

Kalgudi may use third-party advertising companies to serve advertisements when the User contacts it. In such case, User’s consent will be taken to display advertisements. These companies may use information (not including name, address, email address, or telephone number of the user) about the User’s visits to this and other websites in order to provide advertisements about goods and services of interest to the user. However, Vasudhaika serves advertisements its products or renders other marketing activities solely to those Users interested in its Services through reference from other Users (“Referred Users”).

To ensure and maintain standards of data protection and information security, Kalgudi will secure the information which the User provides in accordance with Applicable Laws and industry standards and technology to protect the loss, misuse, and alteration of the User’s information under Vasudhaika’s control. Once the user information is in Kalgudi’s possession, Vasudhaika adheres to strict security guidelines, protecting it against unauthorized access.
